Section 87: Liability In Case Of Amalgamation Or Merger Of Companies

Q.1- यह section कब applicable हुआ?
Ans. - यह section 1st July, 2017 से applicable हुआ है.

Q.2- Effective date of amalgamation क्या होती है?
Ans. - यह वो date है जब से parties के बीच amalgamation या merger effective होता है यानी इस date पर assets और liabilities amalgamated या merged company में transfer की जाती है. यह date respective scheme of amalgamation में specified होती है.

Q.3 - Date of order क्या होती है?
Ans. - Date of order वो date होती है जब High Court / National Company Law Tribunal (NCLT) amalgamation या merger को approve करता है.

Q.4 - यह section कौन से cases में apply होगा?
Ans. - जब किसी amalgamation या merger के case में effective date order date के पहले होती है तब यह section apply होता है.यह section उस intervening period की liabilities के treatment के बारे में बात करता है.

Q.5 - यह section किस पर apply होता है?
Ans. - यह section केवल Company’s के amalgamation और merger पर apply होता है, अन्य business organisation पर नहीं.

Q.6 - Business organisation का क्या मतलब होता है?
Ans. - Business organisation मतलब किसी business का structure कैसा है यानी sole proprietor, partnership, LLP, Company आदि.

Q. 7 - इस section को example के through समझते हैं?
Ans. - X Ltd और Y Ltd court के order द्वारा merge हो कर XY Ltd form करते हैं. Order pass करने की date है 01/12/2021 पर order effective हो जाएगा 01/04/2021 से यानी order date के पहले X Ltd ने 26/05/2021 को Rs.2,00,000/- के goods B Ltd को supply किए (i.e. between 01/04/2021 and 01/12/2021). अब यहाँ Rs.2,00,000/- के goods को X Ltd के turnover में as supply of goods include करेंगे और Y Ltd के turnover में as receipt of goods include करेंगे और accordingly X Ltd. और Y Ltd. tax पे करने के लिए liable होंगे. यहाँ, X Ltd. और Y Ltd. को 01/12/2021 तक distinct companies की तरह treat करेंगे, ऐसा माना जाएगा की date of order तक कोई merger हुआ ही नहीं और with effect from 01/12/2021 registration certificates cancel किए जाएंगे.

Q.8 - क्या merger और amalgamation के अलावा यह section demerger या अन्य corporate compromises और arrangement के case में भी apply होगा?
Ans. - हाँ, अगर effective date, date of order के पहले की है तब यह section applicable हो जाएगा.

Q.9 - Effective date of amalgamation और date of order by court/tribunal के बीच के period के transactions का क्या टैक्स treatment होगा?
Ans. - इस period के बीच के transactions के लिए respective parties’ individually liable होगी. ऐसा माना जाएगा की amalgamation या merger हुआ ही नहीं है और दोनों entities को date of order तक distinct companies की तरह treat किया जाएगा.

Q.10 - Amalgamating Companies को कब तक Distinct Companies माना जाएगा?
Ans. - Amalgamating Companies को date of order तक distinct companies माना जाएगा.[/expand]
